Independent Contractor & Confidentiality Agreement

Version 1.0 · Last updated: October 11, 2026

LocalReview Direct is a service of Income Empire Business LLC. Company party: Income Empire Business LLC d/b/a LocalReview Direct.

1. Parties

This Independent Contractor and Confidentiality Agreement is between Income Empire Business LLC d/b/a LocalReview Direct ("LRD", "the Company") and the individual or business signing below ("the Contractor"). It takes effect when the Contractor signs electronically.

2. Independent contractor relationship

The Contractor is an independent contractor, not an employee, partner, agent or joint venturer of the Company. Nothing in this Agreement creates employment.

The Contractor decides their own hours, location and methods, supplies their own phone, computer, transport and other tools, and pays their own expenses unless the Company agrees in writing to reimburse them.

The Company does not withhold income tax, Social Security, Medicare or any other tax, and provides no benefits, insurance, paid leave or workers' compensation. The Contractor is responsible for all taxes on amounts they receive.

The Contractor may not sign contracts, make promises or incur debts on the Company's behalf.

3. Services

The Contractor introduces local businesses to LocalReview Direct, runs demonstrations using the demo workspace provided, and refers interested businesses through their personal signup link.

The Contractor follows the Company's compliance guidance: never promise reviews, ratings, rankings or legal compliance, never criticise competitors, and only text or call people who agreed to be contacted.

4. Commission

Compensation is commission only. The Contractor earns 30% of revenue the Company actually collects from businesses they directly referred, for the first 3 monthly subscription payments; 30% of the first annual payment for annual plans, paid once; and 30% of any Done-For-You Setup fee.

Bonuses: $100 when the Contractor reaches 5 paying customers and an additional $250 at 10 paying customers.

No commission is earned during free trials, on refunded payments (which are deducted from earnings), after a customer cancels, or on internal, demo or test workspaces, or on any workspace where the Contractor, another rep or a Company administrator is a member.

No base pay, salary or guaranteed income is promised. Any other compensation arrangement must be agreed separately in writing.

Commission is paid only after the Company has received a completed IRS Form W-9 from the Contractor. The Company issues Form 1099-NEC where required by law.

5. 30-day evaluation

The first 30 days are an evaluation of activity and results. Continuing after the evaluation is at the Company's discretion and does not change the Contractor's independent status.

6. Confidentiality

The Contractor will keep confidential, and use only to perform the services, all non-public Company information, including customer and prospect lists, pricing plans, sales methods, training materials, software, data and business plans.

On ending this Agreement the Contractor stops using that information and deletes or returns any copies. These duties continue after the Agreement ends.

7. Non-solicitation

During this Agreement and for 12 months after it ends, the Contractor will not use Company confidential information to persuade any Company customer to cancel or move to a competing service, or encourage any Company contractor to stop working with the Company.

8. Company property and brand

The LocalReview Direct name, logo, materials and software belong to the Company. The Contractor may use them only to promote LocalReview Direct as allowed in their training, and may not change them or create their own accounts or pages using the brand.

9. Term and ending the Agreement

Either party may end this Agreement at any time, for any reason, by written notice (email is enough). Commission already earned on payments collected before the end date is still paid under section 4.

10. General

This is the full agreement on these topics and replaces earlier discussions. Changes must be in writing. If a part is found unenforceable, the rest still applies. Electronic signatures are binding.
